Introduction

Welcome to idazery. These Terms of Service ("Terms") govern your access to and use of idazery's digital journaling and planning platform at idazery.com (the "Service"). By creating an account or using our Service, you agree to be bound by these Terms.

Please read these Terms carefully before using our Service. If you do not agree with these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and idazery. We may update these Terms from time to time. When we make changes, we will update the "Last updated" date at the top of this page. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.

Account Registration

Eligibility

You must be at least 16 years old to use idazery. By creating an account, you represent and warrant that you meet this age requirement and that all information you provide is accurate and complete.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Choose a strong, unique password
• Keep your password confidential and never share it with others
• Notify us immediately if you suspect unauthorized access to your account
• Accept responsibility for all activities conducted through your account

Account Information

You agree to provide accurate, current, and complete information during registration and to update this information as needed. We reserve the right to suspend or terminate accounts that contain inaccurate, fraudulent, or misleading information.

Available Plans

Start (Free): Our free plan includes 14 days of full Pro access to help you discover how idazery works. After the trial, you retain access to essential journaling features with your most recent 15 days of entries. No credit card required.

Pro (Most Popular): Complete journaling and planning experience with unlimited entries, unlimited history, advanced features, and export capabilities.

Premium: Everything in Pro plus advanced analytics, priority support, and early access to new features.

• Premium: €6.99/month or $6.99/month

Annual Billing (Save 37%):

• Pro: €29.99/year (€2.49/month) or $29.99/year ($2.49/month)

Free Trial

14-Day Pro Trial

When you create a free Start account, you automatically receive 14 days of full access to Pro plan features. This trial allows you to experience the complete idazery platform before deciding which plan works best for you.

Trial Terms

• No Credit Card Required: You can start your trial without providing payment information
• No Automatic Charges: Your trial will not automatically convert to a paid subscription
• After Trial Ends: Your account automatically returns to the free Start plan with access to your most recent 15 days of entries
• Upgrade Anytime: You can upgrade to Pro or Premium at any time during or after your trial

Trial Limitations

The free trial is intended for new users to evaluate our Service. We reserve the right to limit trial access to one trial per person or household. Creating multiple accounts to abuse the trial period is prohibited and may result in account termination.

Billing and Payment

Payment Processing

All payments are processed securely through Stripe, our third-party payment processor. We do not store your complete payment card information on our servers. By providing payment information, you authorize us to charge the applicable fees to your chosen payment method.

Billing Cycles

Monthly Plans: Billed monthly on the same day each month. Your subscription automatically renews each month until cancelled.

Annual Plans: Billed once per year on the anniversary of your subscription date. Your subscription automatically renews each year until cancelled.

Price Changes

We may change our pricing from time to time. If we increase the price of your current plan, we will notify you at least 30 days before the change takes effect. The new price will apply at your next renewal date. If you do not agree with the price change, you may cancel your subscription before the new price takes effect.

Taxes

All prices are exclusive of applicable taxes, duties, or similar charges imposed by tax authorities. You are responsible for paying all such taxes associated with your subscription. If we are required to collect such taxes, they will be added to your invoice.

Failed Payments

If a payment fails (due to insufficient funds, expired card, or other reasons), we will attempt to process the payment again. If payment cannot be processed after multiple attempts, your account may be downgraded to the free Start plan, and you will lose access to paid features.

Cancellation and Refunds

Cancelling Your Subscription

You may cancel your Pro or Premium subscription at any time from your account settings. When you cancel:

• You retain full access to paid features until the end of your current billing period
• You will not be charged for subsequent billing periods
• Your account automatically downgrades to the free Start plan at the end of your billing period
• All your data remains safe and accessible according to your plan's features

Refund Policy

All payments are final and non-refundable. We do not provide refunds or credits for partial months or years of service, upgrades, downgrades, or unused time with an active subscription. If you cancel your subscription, you will continue to have access to paid features until the end of your current billing period.

Changes to Plans

Upgrading Your Plan

You may upgrade from Start to Pro, Pro to Premium, or Start to Premium at any time. When you upgrade:

• You receive immediate access to all features of your new plan
• You are charged a prorated amount for the remainder of your current billing cycle
• Your billing date may be adjusted to align with your upgrade date

Downgrading Your Plan

You may downgrade from Premium to Pro or from a paid plan to the free Start plan at any time. When you downgrade:

• You retain full access to your current plan's features until the end of your billing period
• The downgrade takes effect at the start of your next billing period
• No prorated refunds or credits are provided for the time remaining in your current billing period
• Your data is preserved, but access may be limited according to your new plan's features

Plan Feature Changes

We reserve the right to modify, add, or remove features from any plan at any time. We will make reasonable efforts to notify you of significant changes to your plan's features.

Your Content and Data

Ownership

You retain all rights to your content. All journal entries, plans, tasks, and other content you create in idazery ("Your Content") remain your property. We do not claim any ownership rights to Your Content.

License to Operate the Service

By using the Service, you grant idazery a limited, non-exclusive, royalty-free license to store, display, and transmit Your Content solely for the purpose of operating and providing the Service to you. This license terminates when you delete Your Content or close your account.

Your Responsibilities

You are solely responsible for Your Content and any consequences of creating, posting, or storing it on the Service. You represent and warrant that:

• You own or have the necessary rights to Your Content
• Your Content does not violate any laws or these Terms
• Your Content does not infringe on the rights of any third party

Privacy and Security

Your Content is private and secure. We never share, sell, or use Your Content for advertising or marketing purposes. For detailed information about how we handle, protect, and retain your data, including data export and deletion options, please see our Privacy Policy.

Acceptable Use

You agree not to misuse the Service or help anyone else do so. Specifically, you agree not to:

Prohibited Activities

• Illegal Use: Use the Service for any illegal purpose or in violation of any laws
• Abuse of Service: Create multiple accounts to abuse free trials or promotional offers
• Unauthorized Access: Attempt to access another user's account or data without permission
• System Interference: Interfere with or disrupt the Service, servers, or networks connected to the Service
• Automated Access: Use bots, scrapers, or other automated means to access the Service without our express written permission
• Commercial Use Without Authorization: Resell or redistribute the Service without our explicit consent
• Reverse Engineering: Reverse engineer, decompile, or disassemble any portion of the Service
• Harmful Content: Upload malware, viruses, or any code designed to damage or disrupt the Service

Consequences of Violation

Violation of these acceptable use terms may result in the immediate suspension or termination of your account without notice and without refund. We reserve the right to investigate violations and to cooperate with law enforcement if criminal activity is suspected.

Service Availability

Service Provision

We strive to provide a reliable and continuously available service. However, the Service is provided on an "as is" and "as available" basis. We do not guarantee that:

• The Service will be uninterrupted, timely, secure, or error-free
• The Service will meet your specific requirements or expectations
• Any errors or defects will be corrected
• The Service will be available at all times

Maintenance and Downtime

We may temporarily suspend access to the Service for maintenance, updates, or repairs. We will make reasonable efforts to provide advance notice of planned maintenance, but we are not required to do so. We are not liable for any downtime or service interruptions.

Changes to the Service

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, including the availability of features, with or without notice. If we make significant changes that affect your access to the Service, you will have the opportunity to export your data according to your plan's export capabilities before such changes take effect.

We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

Intellectual Property

Our Rights

The Service, including its design, features, functionality, code, graphics, and user interface, is owned by idazery and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our explicit written permission.

Trademarks

"idazery" and our logo are trademarks of idazery. You may not use these trademarks without our prior written consent.

Feedback

If you provide us with feedback, suggestions, or ideas about the Service ("Feedback"), you grant us the right to use such Feedback without any obligation to you. We may use Feedback to improve the Service or develop new features.

Termination

Termination by You

You may terminate your account at any time by:

• Cancelling your subscription (if on a paid plan) from your account settings
• Permanently deleting your account and all data from your account settings

Termination by Us

We reserve the right to suspend or terminate your account immediately, without notice or liability, for any reason, including if:

• You violate these Terms or our Acceptable Use policy
• Your account has been inactive for an extended period (free accounts only)
• We are required to do so by law
• Providing the Service to you is no longer commercially viable

Effect of Termination

Upon termination:

• Your right to access and use the Service immediately ceases
• We may delete Your Content after 30 days, except where legally required to retain it
• You remain responsible for any charges incurred prior to termination
• Sections of these Terms that by their nature should survive termination will continue to apply

Disclaimers and Limitations of Liability

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOU USE THE SERVICE AT YOUR OWN RISK.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IDAZERY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or other harmful code transmitted through the Service
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, transmitted, or otherwise made available through the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless idazery and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your Content

Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, the Service, or legal requirements. When we make changes, we will:

• Update the "Last updated" date at the top of this page
• Notify you via email if the changes are significant
• Post a notice on our website or within the Service

Your continued use of the Service after changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and may close your account.

Governing Law and Disputes

Governing Law

These Terms and any disputes arising from or relating to them or the Service shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Spain. However, we encourage you to contact us first at support@idazery.com to try to resolve the matter informally.

European Union Users

If you are a consumer in the European Union, you may also have the right to file a complaint with your local consumer protection authority.

Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and idazery regarding your use of the Service.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
